ILG’s attorneys have served as general counsels for publicly held corporations, privately held companies and nonprofit organizations.  We have acted as general counsel and advisors to companies and their boards of directors, handling both day-to-day matters and significant transactions, assisting with regulatory filings and compliance matters, and preparing and negotiating all manner of contracts. We provide innovative, strategic legal and business counsel, and a skillful management approach to matters, helping clients to manage all of their legal issues most effectively.

Our objective is to provide companies with services typically provided by an inside general counsel in a cost-effective and responsive manner. We provide our clients with practical legal and business advice by immediately integrating with our clients’ management teams.

To be a true general counsel an attorney must know the client, their business, their operations and what keeps them awake at night (from a risk and a liability perspective). We work with the client to engage in cost effective ways of reviewing the existing business, arranging meetings at the client’s office to see the client’s business and employees in action, and to regularly maintain contact with the client so we can proactively help to identify problems and offer solutions. To do this, we employ a number of alternative fee arrangements including monthly retainers, flat fee for service, deferred billing, equity compensation and other arrangements. The key is to remove any client hesitancy about calling the attorneys at ILG because of cost concerns.

Representative experience in this area includes the following:

• Served as outside general counsel to numerous publicly traded and private companies, ranging from emerging corporations to a $300,000,000 American Stock Exchange listed company.
• Served as General Counsel of the Regional Investment Bankers Association (now known as the National Investment Bankers Association).
• Served as the General Counsel for one of the leading performance marketing companies, with more than 60 employees and $36,000,000 in revenue.
